Lawsuits Against Gaming Companies

Lawsuits which have been filed against International Game Technology, MGM Resorts International, and Las Vegas Sands Corp. are flaring up as shareholders bring the issues back into the lime light. The complaint is that shareholders are angry over the fact that they lost money through shares because certain facts were failed to be disclosed or false information was provided concerning the financial outlook of certain stocks.

The Past Situation

Shareholders in MGM Resorts International, which at the time was called MGM Mirage, filed derivative lawsuits against the company in 2009. This was due to that fact that between August 2007 and March 2009, the stock price declined. The reason why they had brought shares was based on a superior balance sheet supplied by MGM. However, when the company stock fell from around $15 in January 2009 to $1.89 in March of the same year, these shareholders lost a lot of money. The reason for this dramatic decline happened because MGM admitted that there was issues with their CityCenter development which is located on the Las Vegas Strip, to the point that it could face liquidity.

The Counter Argument

Attorneys of MGM Resorts recently made moves to dismiss two lawsuits. Their argument is that shareholders are attempting to blame the company for an economic breakdown which was obviously beyond their control. The credit crunch was a global catastrophe and was felt particularly badly in regions like Las Vegas which saw a massive decline in profits, not only for the gaming industry but also in other areas like real estate. MGM feels that it’s easy for shareholders to now take information provided by MGM before the crisis and claim that they were lying.

Another issue that was brought up by the MGM attorneys is that no specific comments have been quoted. Complaints have been made that particular projections were false and dates surrounding when the CityCenter would be finished were lies. But, they argue, this is what MGM believed was the case before the credit crisis occurred.

As evidence of the effects of the economic crisis throughout the gambling world, MGM are using a chart which shows that this decline was mirrored by three other casino companies at the same time: when MGM Resorts share price fell by 97 percent, Las Vegas Sands’ fell by about 92 percent, Boyd Gaming Corp.’s by 92 percent, and Wynn Resorts Ltd. by approximately 83 percent.

Previous Dismissals

Last year MGM failed to dismiss two law suits filed against Las Vegas Sands. The stock fell in 2007 from $144 to as little as $2 by 2009. Since then, the stocks have increased, partly due to the casino’s dealings with Asia. The decline wasn’t simply because the economy had declined so dramatically but that the company wasn’t doing well due to personal reasons and actually faced liquidity due to how much had already been spent in Singapore and Macau.

Caesars Entertainment Partnership Allowed

A major step has been taken in the world of Internet gambling: Nevada has allowed the Internet gaming company Caesars Entertainment to team up with the Israeli subsidiaries of another Internet gaming company based in Gibraltar.

The Approval

Apart from Commissioner Joe Brown, who couldn’t vote due to a potential conflict of interest, the vote was unanimous. It was approved because no violations concerning any state regulations or policies could be seen. This has been recognized as a major move as it’s the first time that a government has regulated Internet casino gaming in this manner. Basically, the main point is that the US government has shown that it holds no issues over Caesars Entertainment joining forces with a large Internet organization. However, this doesn’t actually affect US citizens who play online.

The Partnership

The partnership is between Caesar’s Entertainment and Cassava Enterprises (Gibraltar) Limited and Fordart Limited, both of which are subsidiaries of 888 Holdings PLC. The latter company is a massive presence within online gaming and provides casino games, bingo, poker, social gaming opportunities, and sports wagering for players living in the UK, Italy, and France.

No clear plan has been offered up as to what this new relationship will bring. Looking at the past, however, with Caesar’s takeover of World Series Poker, it is planning to branch out into Europe. Caesars’s did explain that a major reason as to why they wanted the partnership was to gain access to the other organization’s online gaming hardware and software.

Concerns

A main concern of the commissioners was over social issues, including underage gaming, gambling problems, and money laundering. 888 officials explained that there were precautions put in place to counteract such problems. In the case of preventing individuals under 18 years old playing, there were numerous safeguards in place. And, in terms of illegal activities, any accounts found in which it appeared that suspicious activity was taking place would be immediately closed.

Future Implications

It’s thought by some that this is a move towards finally legalizing gambling online. Caesars has been a massive supporter of this step and the feeling is that they’ll use this partnership to really push online gaming. Despite the fact that many other countries worldwide have embraced this form of gambling, the US is still not willing to jump aboard this bandwagon.

A day after the meeting in which the relationship was approved a Las Vegas Democrat, William Horne, put forward legislation which would give the state control over Internet poker. The argument was that by licensing such sites in Nevada, the state would be able to benefit financially and they would gain more control which would help prevent any illegal activity or corruption. Currently, the Nevada Gaming Commission doesn’t look as though they’re willing to set off down this route just yet. Nevertheless, this doesn’t take away from the fact that Internet gaming is definitely more at the forefront now and that federal regulation is more of a possibility.

Oklahoma Tribe Sued By Gaughan Gaming

Gaughan Gaming, a gaming management business based in Las Vegas, is suing the Tonkawa Tribe, which is located in the state of Oklahoma. The lawsuit was filed in Kay County District Court. On Tuesday, Gaughan Gaming accused the tribal officials of going against the set agreements when control was taken over of two tribal casinos based in the northern region of Oklahoma. Individuals employed by the firm were evicted from the premises and banned from re-entering.

The aim of the lawsuit is to stop the Tonkawa Tribe’s gaming commission from now suspending the license held by Gaughan Gaming. Then, for Gaughan Gaming to regain control of these casinos. There’s also to be a hearing on bringing in a restraining order.

The Reasons

Gary Pitchlynn of Norman, one of the tribe’s attorneys, explained that the reason why this action was taken is due to the fact that Gaughan Gaming breached the contract first. On September 28th 2010, when the incident took place, the company suspended the gaming license put in place for Tonkawa casinos.

Apparently, the situation got heated last year between the tribe and Gaughan Gaming.

This was over past disputes which had been resolved. Any which had not been were considered as arbitrary through the contract. Therefore, in August, Gaughan Gaming stated in August that arbitration would be sought to bring resolution over these management disputes. However, these were then cited by the tribal gaming commission when suspension of Gaughan Gaming’s license was agreed open through a vote.

Gaughan’s Involvement

The tribe has had a rather unruly past concerning gambling. The Financial Crimes Enforcement Network fined it $1 million after it was discovered that certain transactions concerning the Tonkawa Bingo and Casino had not been reported. There was also evidence that the casino had been utilized for organized crime and money laundering.

Gaughan Gaming got involved with the Tonkawa Indian tribe in February 2006. Before this, the National Indian Gaming Commission had shut down any gambling operations.

This was partly due to the fact that there was no approved management contract in place. In their petition, Gaughan Gambling claims that they helped such operations to be brought back into the tribe. Since 2007, the company has managed the City Lights Casino based in Newkirk and the Tonkawa Indian Casino located in Tonkawa.

The company’s contracts with the tribe are to expire within the next few years, with the Tonkawa Indian Casino in July and Native Lights in September 2011. Gaughan Gaming has apparently brought in a lot of revenue: Native Lights was opened in 2006 and since then the casinos have managed to bring in over $52 million. As part of the agreement, Gaughan Gaming is entitled to 30 percent of the profit. The company has played a major role in the managing of the casinos, including marketing, advertising, and game playing. Therefore, in their petition, they argue that they’ve had a vital role in the profits the tribe has made.

Movement Towards Introducing Online Poker To Nevada

A three hour testimony took place recently in front of the Senate Judiciary Committee. It was on a bill, Assembly Bill 258, which is being pushed by PokerStars to instigate online poker into the state of Nevada. However, so far, no conclusion has been reached.

The Testimony

PokerStars is one of the largest online gambling sites. Visitors can play a wide variety of games and tournaments over the Internet. A number of witness, ranging from lawyers and economists to professional poker players, were put forward by PokerStars in an attempt to win over the committee.

A main argument put in place was that such a bill would bring in a large number of jobs, 1180 according to Jeremy Aguero, an economist from Las Vegas. The yearly salaries would then amount to $7.7 million which would mean taxes of between $37 million and $65 million. One of the fears is that if this bill isn’t put forward, other businesses could move into Nevada and begin their own Internet poker enterprises.

Another benefit is that it’s felt women will be more drawn to Internet poker. Casinos are a particularly male dominated environment and some women may be intimidated. However, gambling online takes away from this discomfort.

The Opposition

Currently, however, Assembly Bill 258 has not had the approval of the Nevada Resort Association.

A major issue is that Internet gambling is currently illegal. Last year, a bill put forward to change this was dismissed by the Senate. Members of PokerStars hope that a federal law will see that Internet poker is legalized throughout the nation.

One of the reasons why Internet poker hasn’t been given the legal go-ahead is that children could easily steal credit cards and could then use these online to gamble. A concern is that there’s no sure way of controlling this. The main argument against this is that in order to play you need to proffer other forms of identification, including digits from Social Security numbers and how long an individual has occupied their present address.

Another argument put forward was that if people could play online, why would they bother visiting any of the casinos? Restaurants and bars would also lose out due to a reduction in tourists. The counter argument to this is that it would, in fact, achieve the opposite and encourage people to visit Nevada.

The Current Situation

At the moment, within Nevada, poker doesn’t bring much money into the state. In fact, the revenue is used to simply keep the industry going. A major fear of PokerStars is that a federal bill could be a long time coming. What this will mean is that other states will be able to steam ahead and start bringing in the profits, leaving Nevada far behind. In essence, it appears that if the state really wants to reap in the rewards, it should take action now.
